Terms of Service

The contract between your business and Huck. It covers your subscription, payments through Stripe, the calls and texts Huck handles for you, and how disputes get resolved.

1. Agreement and who we are

These Terms of Service ("Terms") are a contract between you and Sherpp Inc., a Delaware corporation doing business as Huck ("Huck," "we," "us"). They cover hellohuck.com, hellohuck.ai, our apps, our phone and text lines, and every service we provide (together, the "Service").

You accept these Terms when you create an account, start a trial, pay through a Huck payment link, or use the Service. If you accept for a business, you confirm you can bind that business. "You" then means that business.

If you do not agree, do not use the Service.

Our Privacy Policy explains how we handle personal information. It is part of these Terms.

These Terms include a binding arbitration clause and a class action waiver in Section 11. Please read it.

2. The Service

Huck is an AI back office for small service businesses. Depending on your plan and settings, Huck can:

• Answer calls and texts for your business, in your business's name
• Quote, book, and schedule jobs
• Send invoices and collect payments from your customers
• Send reminders, updates, and review requests
• Collect documents from subcontractors and vendors, such as certificates of insurance, W-9s, licenses, and lien waivers
• Sync records to tools you connect, such as QuickBooks Online

Huck acts on your instructions and on your behalf. You are the business your customers deal with. Huck is your service provider, not a party to your jobs, contracts, or customer relationships.

We change and improve the Service over time. We may add, change, or remove features. If we remove a core feature you pay for, we will tell you first.

Huck is not a law firm, an accountant, an insurer, a bank, or a lender. Nothing in the Service is legal, tax, or financial advice.

3. Accounts and eligibility

You must be at least 18 and use the Service for a business, not for personal or household purposes.

Give us true and complete information, and keep it current. This includes your business name, contact details, licenses, and payment details.

Keep your login secure. You are responsible for everything done through your account, including by people you add to it. Tell us right away at support@hellohuck.com if you think someone used your account without permission.

We may refuse or close an account to comply with law, to prevent fraud, or if a payment partner will not support your business.

4. Fees, billing, and payments

4.1 Your Huck subscription

Price. The price is the one shown on our website or your checkout page when you sign up. Prices do not include taxes. You pay any sales, use, or similar taxes that apply.

Free trial. New accounts may get a free trial. When the trial ends, your subscription starts and your card is charged unless you cancel before the trial ends. We will tell you the trial length and the price at checkout.

Automatic renewal. Your subscription renews each month and we charge your payment method at the start of each period until you cancel.

Cancel any time. You can cancel online in your account, through the customer portal link in your billing emails, or by emailing support@hellohuck.com. Cancellation takes effect at the end of the current billing period. You keep access until then.

Refunds. Fees are not refundable, including for partial months, except where the law requires a refund.

Price changes. We will give you at least 30 days' notice before a price change. The new price applies at your next renewal after the notice period. If you do not agree, cancel before then.

Failed payments. If a charge fails, we will try again and tell you. If we cannot collect within 14 days, we may pause the Service until you pay.

4.2 How we charge you (Stripe)

We use Stripe, Inc. ("Stripe") to process subscription payments, including through Stripe Checkout and Stripe payment links. When you pay through a Huck payment link, you give your card or bank details to Stripe, not to us. Huck does not store your full card number.

You authorize Huck, through Stripe, to charge your payment method for all fees when due, including renewals. Stripe's use of your information is covered by the Stripe Privacy Policy.

4.3 Getting paid by your customers (Stripe Connect)

To collect payments from your customers through Huck, you must open a Stripe connected account.

Payment processing services for businesses on Huck are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (together, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to operate as a business on Huck, you agree to be bound by the Stripe Services Agreement, as Stripe may change it from time to time. As a condition of Huck enabling payment processing services through Stripe, you agree to provide Huck accurate and complete information about you and your business, and you authorize Huck to share it and transaction information related to your use of the payment processing services provided by Stripe.

Also:

• Stripe moves the money. Stripe, not Huck, holds and transfers funds. Huck is not a bank, money transmitter, or payment processor. Payout timing is set by Stripe.
• Identity checks. Stripe may ask you for identity and business information. Stripe may refuse, limit, or close your connected account under its own rules.
• Fees. Card and bank processing fees, and any Huck platform fee, are shown before you turn on payments. They come out of each payment before payout.
• Your sales, your responsibility. You are the seller. You are responsible for your prices, taxes, refunds, disputes, and chargebacks. If a chargeback or refund leaves a negative balance, Stripe or Huck may recover it from future payouts or your payment method on file.
• Customer financing. If we offer customer financing through a partner such as Wisetack, that partner, not Huck, is the lender. Its own terms apply.

5. Your customers and communications

Huck calls, texts, and emails people for you. You are the sender of those messages under the law. You agree to the following.

• Consent. You will only have Huck contact people who gave you the consent the law requires. That includes prior express consent for informational calls and texts, and prior express written consent for marketing calls and texts, under the Telephone Consumer Protection Act (TCPA) and similar state laws. You will not upload purchased, rented, or scraped contact lists.
• Opt-outs. Huck honors STOP and similar requests automatically. You will not ask us to contact anyone who opted out, and you will honor do-not-call requests you receive directly.
• Quiet hours. You will set business hours that comply with state and local calling-time rules.
• Call recording. Huck may record and transcribe calls so it can do its work. Some states require consent from everyone on a call. Huck plays or gives a recording notice where we support it. You are responsible for making sure your use of recording complies with the law where you and your callers are.
• AI disclosure. Huck uses AI to talk and write on your behalf. Some laws require you to tell people they are dealing with an automated system. Do not tell Huck to deny it is automated when someone asks, and keep any disclosure settings we provide turned on where the law requires them.
• Phone numbers. If we give you a phone number, we lease it to you while your account is active. If you forward or port your own number to Huck, you confirm you have the right to do so. When you leave, we will help you forward or port numbers you own back out.
• Carrier rules. Text messaging is subject to carrier rules, including A2P 10DLC registration. You will give us the business information needed to register, and carriers may block messages that break their rules.

6. Acceptable use

You will not use the Service to:

• Break any law, or help anyone else break one
• Send spam, robocalls, or messages to people who did not consent
• Mislead people about who you are or what you sell
• Collect payments for illegal goods or services, or for anything Stripe's restricted business list prohibits
• Harass, threaten, or discriminate against anyone
• Upload malware, or try to break into, overload, or reverse engineer the Service
• Copy, resell, or build a competing product from the Service
• Scrape the Service, or access it by automated means we have not approved

We may suspend or remove content or accounts that break these rules. Where we can, we will tell you first and give you a chance to fix the problem.

7. AI output and your responsibility

Huck uses AI models. AI can make mistakes. A quote, a booking, a message, or a summary can be wrong or incomplete.

• Set the rules. You set your prices, service area, hours, and policies in Huck. Huck works from what you give it. Keep that information correct.
• Review what matters. You are responsible for quotes, prices, contracts, invoices, and promises made in your name. Use the approval settings to review anything you want to check before it goes out.
• Documents and signatures. Huck can send documents for electronic signature and can record agreement by click, text, or voice. You agree that electronic records and signatures count as originals under the federal E-SIGN Act and state law. Lien waivers, contracts, and other forms have rules that vary by state. You are responsible for using the right form for each job. Huck does not guarantee that any form is valid or enforceable in a given state.
• Compliance checks. Huck can collect and track insurance certificates, licenses, and similar documents. Huck does not verify that a policy or license is valid, in force, or enough for your job, unless we say so in writing for a specific feature.

8. Data, ownership, and licenses

• Your data is yours. You own the data you and your customers put into the Service, including contacts, job records, call recordings, messages, photos, and documents ("Your Data").
• Our license to use it. You give Huck a limited license to host, copy, process, and display Your Data to run, secure, support, and improve the Service for you. We act as your service provider for personal information about your customers. Our Privacy Policy explains the details.
• Aggregated data. We may create de-identified and aggregated data from use of the Service, such as industry benchmarks. This data does not identify you or any person. We own it and may use it for any lawful purpose.
• AI model training. We do not sell Your Data. We do not let our AI vendors train their general models on Your Data.
• Export. You can export Your Data while your account is active and for 30 days after it closes. After that, we may delete it, as our Privacy Policy describes.
• Our property. Huck owns the Service, its software, its design, and the HUCK and HELLOHUCK names and logos. These Terms give you a right to use the Service, not to own any part of it.
• Feedback. If you send ideas or suggestions, we may use them without owing you anything.

9. Third-party services and early access

• Third parties. The Service works with other companies' products, such as Stripe, QuickBooks Online, e-signature, review, calendar, and phone providers. When you connect or use them, their terms apply too. We are not responsible for their products or outages.
• Partner programs. If you joined Huck through a partner, such as a general contractor, association, or software company, that partner may see limited information about your account, like whether you are active and your compliance document status. We will tell you what a partner can see before you connect.
• Early access. We may offer founding-member, beta, or preview features. They may be less reliable and may change or end. We provide them as-is.

10. Term, termination, and liability

10.1 Term and termination

These Terms apply while you use the Service. You can stop at any time by canceling (Section 4.1).

We may suspend or end your access if you break these Terms, do not pay, create legal or security risk, or if a payment or phone partner requires it. Where reasonable, we will give notice first.

When your account ends, your right to use the Service ends. You still owe fees already due. Section 4 (for amounts owed) and Sections 7, 8, 10, and 11 survive.

10.2 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, HUCK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT EVERY CALL WILL BE ANSWERED, OR THAT AI OUTPUT WILL BE ACCURATE.

10.3 Limits on liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

• HUCK IS NOT LIABLE FOR LOST PROFITS, LOST REVENUE, LOST JOBS, LOST DATA, OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
• HUCK'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID HUCK IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

These limits apply to every legal theory, even if we were told the damages were possible. Some states do not allow some of these limits, so they may not all apply to you.

10.4 Your indemnity

You will defend and pay for claims, losses, fines, and costs (including reasonable legal fees) brought against Huck by third parties that arise from: your jobs and services; your customers' payments, refunds, and chargebacks; communications sent at your instruction or without required consent; Your Data; or your breach of these Terms or the law.

11. Disputes and general terms

11.1 Talk to us first

Most problems get solved fast. Before filing a claim, email legal@hellohuck.com with your name, the issue, and what you want. We will both try in good faith to resolve it within 60 days.

11.2 Binding arbitration

If we cannot resolve it, you and Huck agree to settle any dispute related to these Terms or the Service by binding individual arbitration run by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in Dallas County, Texas, or by video. Either side may instead bring an individual claim in small claims court. Either side may ask a court to stop misuse of its intellectual property.

11.3 Class action waiver

YOU AND HUCK WILL BRING CLAIMS ONLY AS INDIVIDUALS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. If this waiver is found unenforceable for a claim, that claim goes to court, not arbitration.

11.4 Opt out

You can opt out of arbitration by emailing legal@hellohuck.com within 30 days of first accepting these Terms. Include your name, business name, and a clear statement that you opt out.

11.5 Governing law

Texas law governs these Terms, without regard to conflict-of-law rules, and the Federal Arbitration Act governs Section 11. Any court case allowed under these Terms will be in the state or federal courts in Dallas County, Texas.

11.6 General

• Changes to these Terms. We may update these Terms. We will post the new version with a new "Last updated" date. For material changes, we will notify you by email or in the app at least 30 days before they take effect. If you keep using the Service after that, you accept the new Terms.
• Notices. We send notices to the email on your account. You send notices to legal@hellohuck.com.
• Assignment. You may not transfer these Terms without our written consent. We may transfer them in a merger, acquisition, or sale of assets.
• Force majeure. Neither side is liable for delays caused by events beyond reasonable control, such as carrier or cloud outages, storms, or government action.
• Entire agreement. These Terms, the Privacy Policy, and any order form are the whole agreement between us about the Service. If a part is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it.
• Language. We may provide these Terms in Spanish. If the versions conflict, the English version controls.
